Terms & conditions

These terms and conditions apply to all quotes, agreements and services of FlynDesign, unless agreed otherwise in writing.
Article 1: Definitions
- Client: the natural person or legal entity that enters into an agreement with FlynDesign.
- FlynDesign: the company that provides web design, hosting, maintenance, on-page SEO and email hosting, registered with the Dutch Chamber of Commerce under number 84933550.
- Services: all work and services FlynDesign performs, as stated in the agreement.
- Agreement: the arrangements between FlynDesign and the client.
Article 2: Applicability
- These terms apply to all quotes, agreements and services of FlynDesign.
- Deviations from these terms are only valid if agreed in writing or by email.
Article 3: Quotes and agreements
- All quotes from FlynDesign are without obligation and valid for 14 days unless stated otherwise.
- An agreement is formed once the client approves the quote in writing or by email.
- Payment terms can be set per client by arrangement. By default, payment takes place after delivery of the assignment.
Article 4: Performing the services
- FlynDesign carries out the assignment to the best of its insight and ability.
- FlynDesign may engage third parties in carrying out the assignment.
- Websites carry no warranty, but changes are made free of charge if something breaks spontaneously through no fault of the client.
- If a client makes changes themselves with an admin account and this causes problems or damage, the client is responsible for the repair costs. These costs are set by arrangement, based on a one-time fee or an hourly rate.
Article 5: Hosting and maintenance
- Hosting and maintenance are provided according to the arrangements in the agreement.
- FlynDesign resolves hosting faults or problems as soon as possible.
- For email hosting, FlynDesign is not responsible for problems caused by external parties, such as email clients or the client’s settings.
Article 6: Prices and payment
- Prices exclude 21% VAT unless stated otherwise.
- Payments must be made within 14 days of the invoice date, unless agreed otherwise.
- If the payment term is exceeded, the client owes statutory interest and collection costs.
Article 7: Liability
- FlynDesign is not liable for indirect damage, such as consequential loss or lost profit.
- FlynDesign’s liability is limited to the amount invoiced for the relevant assignment.
- Problems arising from changes made by the client with admin rights fall outside FlynDesign’s liability.
Article 8: Intellectual property
- After full payment, the client obtains ownership of the delivered website and other products.
- The delivered work may not be copied, distributed or used as own work for other websites without FlynDesign’s permission.
- In the event of infringement of intellectual property, FlynDesign reserves the right to take legal action.
Article 9: Cancellation and termination
- If the client cancels the agreement, they are obliged to reimburse the costs incurred up to that point.
- FlynDesign may terminate the agreement with immediate effect in the event of non-payment or default by the client.
Article 10: Force majeure
In the event of force majeure, such as technical failures or circumstances beyond FlynDesign’s control, FlynDesign may suspend or terminate the assignment without being liable for damages.
Article 11: Disputes and governing law
- Dutch law applies to all agreements.
- Disputes are submitted to the competent court in the district where FlynDesign is established.
